1. General terms and acceptance
This Public Offer describes the rules for using the CherryX-Digital website, account registration, estimates, project requests, referral program and ordering digital services.
Acceptance means creating an account, submitting a request, ticking the relevant consent checkbox, using a referral code, paying an invoice or otherwise clearly agreeing to the terms.
For individual projects, the parties may agree a separate contract, scope of work, commercial proposal, invoice, addendum, NDA or acceptance act. Specific written documents prevail over the general offer where they regulate the same issue differently.
2. Services, requests and client materials
CherryX-Digital provides website development, web apps, online stores, CRM automation, UI/UX, backend, DevOps, SEO, analytics, support and related digital services.
The client is responsible for accurate input data, lawful materials and rights to texts, images, logos, trademarks, databases, integrations and other content provided for work.
Website estimates are preliminary unless a separate document says otherwise. Final price, timeline and scope depend on requirements, integrations, content readiness, access availability, approvals and technical risks.
3. Payment, result and acceptance
Payment terms, stages, prepayment, deadlines and delivery format are agreed in an invoice, correspondence, scope, commercial proposal or separate contract. Work may be split into stages.
A result may be delivered through access, link, files, repository, design layout, deployed environment, documentation or another agreed method. If the client does not provide reasoned comments within the agreed period, the stage may be considered accepted.
Additional work, new integrations, changed requirements or missing source materials may require a separate estimate and updated timeline.
4. Referral program
A user may enter a referral code during registration. If the code is valid and the conditions are met, the new client may receive the stated registration bonus, while the inviter receives only the partner percentage from completed paid projects, unless a separate written rule says otherwise.
- Referral bonuses are not cash withdrawals unless CherryX-Digital explicitly provides such a withdrawal option.
- Referral accruals may be reviewed or cancelled if there are duplicate accounts, self-referrals, fake contacts, chargebacks, unpaid projects or other abuse indicators.
- The exact bonus amount, partner percentage and payout threshold may be displayed in the account, partner page, commercial terms or separate agreement.
- CherryX-Digital may change referral rules for future registrations, while already confirmed accruals remain handled under the terms valid at the time of confirmation unless abuse is found.

6. Intellectual property and access
Rights to the delivered result transfer within the agreed scope after payment for the relevant stage, unless another written document says otherwise. Pre-existing CherryX-Digital tools, libraries, templates, know-how and general methods remain with CherryX-Digital or their respective right holders.
The client must provide lawful access to hosting, domains, analytics, repositories, CMS, CRM and third-party services when needed. CherryX-Digital is not responsible for restrictions caused by third-party platforms or missing client access.
7. Liability, changes and disputes
CherryX-Digital is not responsible for delays caused by late materials, missing access, delayed approvals, changed requirements, third-party platform failures or force majeure.
The website and client account may be temporarily unavailable due to maintenance, hosting incidents, security measures or updates. We aim to restore service reasonably quickly.
Disputes should first be resolved by negotiation. If no agreement is reached, Ukrainian law applies and the competent court is determined under Ukrainian procedural rules.
